Nurse Practitioner Agreement

1. Introduction

This Nurse Practitioner Agreement ("Agreement") is entered into between MedRelay, operated by Benjamin Trudel ("MedRelay," "we," "us"), and the nurse practitioner ("NP," "you," "Practitioner") who registers to provide clinical services through the MedRelay platform at medrelay.ca (the "Platform").

By registering as a practitioner on the Platform and accepting this Agreement, you agree to the terms and conditions set forth below.

2. Independent Contractor Relationship

You acknowledge and agree that you are an independent contractor and not an employee, partner, agent, or franchisee of MedRelay. This Agreement does not create an employment relationship, partnership, joint venture, or agency between you and MedRelay.

As an independent contractor, you:

  • Have full control over the manner and means by which you provide clinical services;
  • Are responsible for your own taxes, including income tax, CPP contributions, and any applicable HST/GST;
  • Are not entitled to employment benefits, vacation pay, or workers' compensation from MedRelay;
  • May provide services through other platforms or in other settings, subject to any non-solicitation provisions herein.

3. Licensing Requirements

You represent and warrant that you:

  • Hold a current, unrestricted registration as a Nurse Practitioner with the nursing regulatory body in each province where you intend to provide care through the Platform;
  • Are authorized to prescribe medications, including controlled substances where applicable, in accordance with provincial regulations;
  • Will only provide care to patients in provinces where you hold active registration;
  • Will promptly notify MedRelay of any changes to your registration status, including restrictions, suspensions, investigations, or conditions imposed by any regulatory body;
  • Will maintain your registration in good standing for the duration of this Agreement.

MedRelay reserves the right to verify your credentials at any time and to suspend or terminate your access if your registration is not in good standing.

4. Scope of Practice

You agree to:

  • Provide clinical services within the scope of practice defined by your provincial regulatory body;
  • Exercise independent clinical judgment in all patient care decisions;
  • Adhere to current evidence-based clinical guidelines and standards of practice;
  • Review all patient information thoroughly before making clinical decisions;
  • Decline to treat patients when, in your professional judgment, a virtual consultation is not appropriate or safe;
  • Refer patients to in-person care or emergency services when clinically indicated;
  • Maintain complete and accurate clinical records for each patient encounter.

5. Prescription Responsibilities

When prescribing through the Platform, you agree to:

  • Only prescribe medications that are clinically appropriate based on your assessment;
  • Verify patient identity and province of residence before prescribing;
  • Comply with all federal and provincial prescribing regulations, including the Controlled Drugs and Substances Act where applicable;
  • Send prescriptions to the patient's designated licensed Canadian pharmacy;
  • Provide clear instructions to patients regarding medication use, potential side effects, and follow-up requirements;
  • Not prescribe medications to yourself, family members, or individuals with whom you have a personal relationship through the Platform.

6. Malpractice Insurance

You are required to maintain professional liability (malpractice) insurance with coverage adequate for the services you provide through the Platform. The minimum recommended coverage is $5,000,000 per occurrence. You must provide proof of current insurance upon request and promptly notify MedRelay of any lapse, cancellation, or material change in coverage.

MedRelay is not responsible for any malpractice claims arising from clinical services you provide. You assume full responsibility for your clinical decisions and actions.

7. Compensation

MedRelay will compensate you for consultations completed through the Platform in accordance with the fee schedule agreed upon during your onboarding. Compensation details, including per-consultation rates, payment frequency, and payment method, will be outlined in a separate compensation schedule provided to you upon acceptance.

  • Payments will be made on a bi-weekly or monthly basis, as agreed;
  • You are responsible for all applicable taxes on compensation received;
  • MedRelay reserves the right to withhold payment for consultations that do not meet quality standards or that violate this Agreement;
  • Compensation rates may be adjusted with 30 days written notice.

8. Confidentiality

You agree to:

  • Maintain the confidentiality of all patient information accessed through the Platform in accordance with PIPEDA and all applicable provincial health privacy legislation (PHIPA, HIA, PIPA, HIPA, PHIA);
  • Not access, use, or disclose patient information for any purpose other than providing clinical care through the Platform;
  • Maintain the confidentiality of MedRelay's proprietary information, including business processes, technology, fee schedules, and patient lists;
  • Report any actual or suspected privacy breach to MedRelay immediately;
  • These confidentiality obligations survive termination of this Agreement.

9. Platform Obligations

MedRelay agrees to:

  • Provide a secure, functional platform for delivering telehealth consultations;
  • Verify patient identity and eligibility before routing consultations;
  • Process patient payments and remit your compensation in accordance with the agreed schedule;
  • Maintain appropriate data security and privacy safeguards;
  • Provide reasonable technical support for Platform-related issues.

10. Non-Solicitation

During the term of this Agreement and for 12 months following termination, you agree not to directly solicit patients you were introduced to through the Platform for services outside of the Platform, unless the patient independently seeks your services.

11. Termination

Either party may terminate this Agreement at any time with 30 days written notice. MedRelay may terminate this Agreement immediately and without notice if:

  • Your professional registration is suspended, revoked, or subject to conditions that affect your ability to provide care;
  • You breach any material term of this Agreement, including confidentiality or patient safety obligations;
  • Your malpractice insurance lapses;
  • You engage in conduct that, in MedRelay's reasonable judgment, poses a risk to patient safety or the Platform's reputation.

Upon termination, you must immediately cease providing services through the Platform. You will be compensated for all consultations completed prior to the effective termination date. Confidentiality obligations and any outstanding payment obligations survive termination.

12. Limitation of Liability

MedRelay shall not be liable for any clinical outcomes, malpractice claims, or patient complaints arising from the clinical services you provide. You agree to indemnify and hold harmless MedRelay from any claims, damages, or losses arising from your clinical practice, breach of this Agreement, or violation of applicable laws or regulations.

13. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes arising from this Agreement shall be subject to the exclusive jurisdiction of the courts of the Province of Ontario.

14. Entire Agreement

This Agreement, together with any compensation schedule and onboarding documents, constitutes the entire agreement between you and MedRelay regarding your provision of services through the Platform. It supersedes all prior agreements, representations, and understandings. This Agreement may only be modified in writing with the consent of both parties.
